Content Ownership & Asset Rights Policy

This Content Ownership & Asset Rights Policy ("Content Policy") explains the rights, responsibilities, and obligations of users and Vysual Labs LLC ("Vysual," "we," "us," or "our") with respect to digital assets and content uploaded to the Vysual platform (the "Platform").
This Content Policy is incorporated into and subject to the Vysual Terms of Service. In the event of a conflict between this Content Policy and the Terms of Service, the Terms of Service shall control. Capitalized terms not defined here have the meanings given in the Terms of Service.
1. Ownership of Uploaded Content
You retain full ownership of all digital assets and content that you upload to the Platform ("User Content"). Uploading content to Vysual does not transfer any ownership rights to Vysual.
Vysual claims no intellectual property rights over your User Content. All rights, title, and interest in and to your User Content remain with you or the original rights holder.
2. License Grant to Vysual
By uploading User Content to the Platform, you grant Vysual a limited, non-exclusive, non-transferable, worldwide license to:
- store, host, and back up your content on our infrastructure
- process, transcode, and convert file formats as needed for Platform functionality
- generate thumbnails, previews, and preview clips
- generate transcripts, metadata, tags, and search indexes
- display content to users authorized by you within your Workspace
- transmit content to collaborators you have authorized
This license is granted solely for the purpose of operating and providing the Platform to you. This license terminates when you delete the applicable User Content or when your account is terminated.
3. Your Responsibilities
You represent and warrant that:
- you own or have obtained all necessary rights, licenses, and permissions to upload, store, process, and share any User Content you submit to the Platform
- your User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party
- your use of the Platform complies with all applicable laws and regulations
- you have obtained any required consents from individuals depicted in your content, including consent for AI processing where required by applicable law
4. What Vysual Will Not Do With Your Content
Vysual will not:
- claim ownership of your User Content
- use the content of your uploaded assets to train, fine-tune, or develop AI or machine learning models without your separate, express written consent
- sell, license, or transfer access to your User Content to third parties for their own purposes
- use your User Content in marketing materials without your express written consent
- access the content of your User Content except as necessary to provide Platform functionality, respond to support requests, investigate policy violations, or comply with legal obligations
5. Shared Content and Collaboration
When you share assets with collaborators through the Platform, you authorize those collaborators to access your content within the scope of the permissions you assign. Sharing content through the Platform does not transfer ownership.
You are responsible for managing sharing permissions and for communicating any restrictions on how collaborators may use shared content. Vysual does not enforce agreements between you and your collaborators regarding content usage. For more details, see the Workspace Access & Collaboration Policy.
6. Content Deletion and Data Portability
You may delete your User Content at any time through the Platform. Upon deletion:
- the content will be removed from active systems promptly
- backup copies will be purged within a commercially reasonable time not to exceed ninety (90) days
- AI-generated metadata (tags, transcripts, categories) associated with the deleted content will also be removed
Upon account termination, Vysual retains your data for thirty (30) days to allow for data export or account restoration. After that period, all content is permanently deleted. You may request data export prior to account termination by contacting support@vysual.com.
7. Intellectual Property Disputes
Vysual does not verify ownership or licensing rights for uploaded assets. If a third party claims that your User Content infringes their intellectual property rights, Vysual will handle the claim in accordance with the DMCA provisions of the Terms of Service (Section 16).
If you believe content in another user's Workspace infringes your rights, follow the DMCA notice process described in the Terms of Service.
8. Policy Updates
Vysual may update this Content Policy from time to time. For material changes, Vysual will provide at least thirty (30) days' advance notice via email before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised policy.
